1. Acceptance of Terms
Welcome to LawCipher. By accessing or using the LawCipher deposition intelligence platform (the "Platform"), you agree to be bound by these Terms of Service (the "Terms"). If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
These Terms constitute a legally binding agreement between you ("you," "your," or "User") and LawCipher, Inc. ("LawCipher," "we," "us," or "our"). If you do not agree to all of these Terms, you must not access or use the Platform.
We reserve the right to update or modify these Terms at any time. Material changes will be communicated via email or through a notification on the Platform. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms.
2. Description of Service
LawCipher is a Cloudflare-native, page-metered deposition intelligence platform that provides AI-powered processing, transcription, analysis, and presentation tools for legal professionals. The Platform includes, but is not limited to:
- Video deposition upload, transcription (via Whisper), and paralinguistic analysis
- Document management, OCR, and eDiscovery processing
- AI Chat Agent (The Interrogator) with Model Context Protocol (MCP) capabilities
- Predictive coding and active learning classification
- Natural language querying across case corpora (Deep Dive)
- Batch AI processing for summaries, topic analysis, and custom extractions
- Storybuilder narrative timeline workspace
- Cloud connectors for Google Drive, Microsoft OneDrive, Slack, Teams, and Zoom
- Legal hold management, redaction tools, and production workflows
- Page-based consumption system for AI operations
The Platform is provided on a subscription basis with tiered pricing (Starter, Pro, Business) and per-page consumption. Detailed feature availability per tier is described on our Pricing page and within the Platform interface.
3. User Accounts and Registration
To access the Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate, current, and complete.
You are responsible for maintaining the confidentiality of your account credentials, including your password and any multi-factor authentication tokens. You are solely responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security at security@lawcipher.com.
Account Types:
- Trial Accounts: 14-day free trial with Professional-tier credit allowance (30,000 credits). Trial exports are watermarked. You will not be charged during the trial period. At the end of the trial period, your account will automatically convert to a paid Starter subscription unless you cancel before the trial expiration. We will send a reminder email before conversion.
- Starter: 1 user seat, 5,000 credits/mo (hard cap), 100 GB active storage.
- Pro: 5 user seats, 30,000 credits/mo (hard cap), 250 GB active storage.
- Business: 20 user seats, 150,000 credits/mo + $0.0025/credit overage (soft cap), 1,000 GB active storage.
- Enterprise: Custom pricing, seats, storage, and credit allowances.
You may not create accounts by automated means or under false or fraudulent pretenses. Each user must be a natural person; shared or bot accounts are prohibited. Tenant administrators may invite, assign roles to, and remove users within their organization.
4. Acceptable Use
You agree not to use the Platform to:
- Upload, process, or store any content that violates applicable law, including but not limited to content protected by attorney-client privilege that you are not authorized to upload, or content that infringes upon third-party intellectual property rights
- Attempt to reverse engineer, decompile, disassemble, or derive the source code of the Platform, except to the extent expressly permitted by applicable law
- Interfere with or disrupt the integrity or performance of the Platform, including introducing malware, viruses, or other harmful code
- Attempt to access another user's account, tenant data, or circumvent authentication or authorization measures
- Use the Platform in a manner that could damage, disable, overburden, or impair our infrastructure, including automated scraping or excessive API calls beyond documented rate limits
- Use AI-generated outputs in a manner that violates professional conduct rules or applicable legal ethics opinions regarding the use of artificial intelligence in legal practice
- Submit case data that you know or reasonably suspect to be fabricated, fraudulent, or intended to mislead opposing counsel or a court
Violation of these acceptable use provisions may result in immediate suspension or termination of your account and legal action.
5. Intellectual Property
Platform Ownership: The Platform, including its code, design, architecture, algorithms (including AI models), documentation, and brand assets, is owned by LawCipher or its licensors and is protected by intellectual property laws. LawCipher grants you a limited, non-exclusive, non-transferable, revocable license to use the Platform in accordance with these Terms during the term of your subscription.
User Content: You retain all right, title, and interest in and to the case data, documents, videos, notes, annotations, coding decisions, and narrative timelines you upload or create within the Platform ("User Content"). You grant LawCipher a worldwide, royalty-free, non-exclusive license to host, store, process, transmit, and display User Content solely for the purpose of providing the Platform to you.
Anonymized Data: LawCipher may use anonymized, aggregated data derived from your use of MCP protocol manipulations and AI features to train and improve our AI models, as further described in our Privacy Policy. This data is stripped of all personally identifiable information and cannot be attributed to you or your organization.
Feedback: If you provide feedback, suggestions, or feature requests regarding the Platform, you grant LawCipher the right to use, incorporate, and commercialize such feedback without compensation or attribution.
6. Payment Terms
Subscription Fees: Paid subscriptions are billed monthly in advance at the rates published on our Pricing page. All fees are non-refundable except as expressly stated in these Terms or as required by applicable law.
Credit Metering: AI and processing operations consume credits from your monthly included allowance. Credit costs are calculated from source material (words for text, minutes for media, tokens for AI generation) at 250 words or 1 media-minute per credit. Estimated credit costs are displayed before each action and deducted atomically at completion. When your included credits are exhausted, AI operations are blocked on hard-cap tiers (Starter, Pro) or billed as overage on soft-cap tiers (Business).
Monthly Included Credits: Included credits are reset at the start of each billing cycle. Unused included credits do not roll over to the following month. Purchased credit packs (see below) are consumed after included credits are exhausted.
Credit Packs: Additional credit packs are available for purchase. Purchased credits never expire and roll over indefinitely across billing cycles.
Overage (Business Tier): Business tier subscriptions automatically accrue overage at $0.0025 per additional credit when monthly included credits are exceeded. Overage is invoiced at the end of each billing cycle. You may set a monthly overage cap in account settings to prevent unexpected charges.
Hard Caps (Starter, Pro): Starter and Pro tiers have a hard credit cap. When included credits are exhausted, AI operations are paused until the next billing cycle or until you upgrade to a higher tier. No overage is charged on hard-cap tiers.
Storage: Active storage is included per plan (Starter: 100 GB, Pro: 250 GB, Business: 1 TB). After the per-plan free retention window (90 days Starter/Pro, 180 days Business), files may be moved to cold archival at published per-GB rates. Storage is billed separately from credits.
Billing: Payments are processed securely through our third-party payment processor (Polar.sh). You authorize us to charge your designated payment method on a recurring monthly basis. We may update pricing with 30 days' notice; price increases will not take effect until your next billing cycle.
Taxes: You are responsible for all applicable taxes, duties, and government charges associated with your subscription. If we are required to collect taxes, the amount will be added to your invoice.
Refunds: You may request a full refund within 30 days of your initial subscription purchase. Refunds for subsequent months are provided on a pro-rata basis for the remaining days in the current billing cycle.
7. Limitation of Liability
Disclaimer of Warranties: THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VULNERABILITIES.
AI Output Disclaimer: LawCipher's AI-generated outputs, including but not limited to summaries, topic analyses, coding suggestions, credibility reports, paralinguistic indicators, and chat agent responses, are provided as assistive tools and do not constitute legal advice. You are solely responsible for reviewing, verifying, and exercising independent professional judgment regarding all AI-generated outputs before relying on them in legal proceedings or client communications.
Limitation of Liability: To the maximum extent permitted by applicable law, LawCipher and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Platform, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages.
Total Liability Cap: Our total liability to you for any claims arising under these Terms shall not exceed the total amount paid by you to LawCipher in the twelve (12) months preceding the event giving rise to the claim. This limitation applies notwithstanding any failure of essential purpose of any limited remedy.
Client Data Responsibility: You are solely responsible for ensuring that your use of the Platform complies with your ethical obligations to your clients, including but not limited to duties of confidentiality, competence regarding technology use, and supervision of non-lawyer assistants.
8. Indemnification
You agree to indemnify, defend, and hold harmless LawCipher, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Platform in violation of these Terms
- Your User Content, including any claim that your User Content infringes or violates the rights of a third party
- Your violation of applicable laws, rules, or regulations
- Your negligence, willful misconduct, or violation of professional ethics rules
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses.
9. Data Security and Privacy
We implement industry-standard technical and organizational measures to protect User Content, as described in our Privacy Policy. However, you acknowledge that no data transmission or storage system can be guaranteed to be 100% secure.
Data Processing Agreement: For customers who require a Data Processing Agreement (DPA) to comply with GDPR or other data protection laws, a DPA is available upon request by contacting legal@lawcipher.com. The DPA is incorporated into these Terms by reference.
Data Portability and Deletion: You may export your User Content at any time through the Platform's export features. Upon termination of your account, we will provide a reasonable period for you to retrieve your data before deletion, as described in our Privacy Policy.
10. Termination
Termination by You: You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellation takes effect at the end of the current billing cycle. You will retain access to the Platform and your data through the end of the paid period.
Termination by Us: We may suspend or terminate your access to the Platform immediately, without prior notice or liability, if:
- You breach any provision of these Terms (provided that for non-material breaches, we will give you 15 days' written notice to cure before termination)
- Your payment method fails and remains delinquent for 14 days after notice
- We are required to do so by law or regulatory authority
- We determine, in our sole discretion, that your use of the Platform poses a security risk or could cause imminent harm to us or third parties
Effect of Termination: Upon termination, your right to access and use the Platform ceases immediately. We will retain your User Content for 60 days following termination to allow you to retrieve it. After 60 days, we may permanently delete all User Content, subject to active legal holds.
Sections 5 (Intellectual Property), 7 (Limitation of Liability), 8 (Indemnification), and 14 (Governing Law) shall survive termination of these Terms.
11. Service Level Commitment
Uptime Commitment: LawCipher commits to a Platform uptime of 99.9% as measured monthly, excluding scheduled maintenance (notified at least 48 hours in advance) and force majeure events. "Uptime" means the Platform is accessible via standard HTTPS requests and core functionality (document upload, AI processing, search, and video playback) is operational.
Credits for Downtime: If monthly uptime falls below 99.9%, you will receive a service credit equal to 5% of your monthly subscription fee for each full percentage point below 99.9%, up to a maximum of 50% of your monthly fee. Credits are applied to your next billing cycle.
Exclusions: The uptime commitment does not apply to: (a) beta or preview features, (b) downtime caused by your equipment, software, or internet connection, (c) downtime resulting from your violation of these Terms, (d) third-party AI model providers experiencing outages, or (e) actions of unauthorized third parties.
Enterprise SLA: Enterprise customers may negotiate custom SLAs with different uptime commitments, credit structures, and response times through their subscription agreement.
12. DMCA / Copyright Policy
LawCipher respects the intellectual property rights of others and expects its users to do the same. In accordance with the Digital Millennium Copyright Act (DMCA), we will respond promptly to notices of alleged copyright infringement.
Filing a DMCA Notice: If you believe that material available on or through the Platform infringes your copyright, you may submit a written notification to our Designated Copyright Agent at dmca@lawcipher.com or to LawCipher, Inc., 30 N Gould St, STE R, Sheridan, WY 82801, Attn: DMCA Agent. Your notice must include:
- A physical or electronic signature of the copyright owner or a person authorized to act on their behalf
- Identification of the copyrighted work claimed to be infringed
- Identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate the material
- Your contact information (address, telephone number, and email address)
- A statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law
- A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the copyright owner
Counter-Notice: If you believe that material you posted was removed or disabled as a result of mistake or misidentification, you may submit a counter-notice containing your physical or electronic signature, identification of the material removed and its location before removal, a statement under penalty of perjury that you have a good-faith belief the material was removed as a result of mistake or misidentification, and your contact information. We will forward the counter-notice to the complaining party and may restore the material in accordance with the DMCA.
Repeat Infringers: It is our policy to terminate, in appropriate circumstances, the accounts of users who are repeat infringers of copyright.
13. Beta Services
From time to time, LawCipher may offer access to features, functionality, or products that are not generally available ("Beta Services"). Beta Services are provided "AS IS" and "AS AVAILABLE" without any warranty, indemnification, or service level commitment of any kind.
Confidentiality: You agree to treat Beta Services and any related documentation or information as confidential and not to disclose them to any third party without our prior written consent.
Feedback: You agree to provide timely feedback regarding your experience with Beta Services. We may use this feedback without restriction or obligation to you.
Termination: We may modify or discontinue Beta Services at any time without notice. Beta Services may become generally available in future releases at our discretion and may be subject to additional fees.
Data Handling: You should not upload sensitive or confidential information to Beta Services. We may delete or modify data stored in Beta Services at any time without notice.
14. Governing Law and Dispute Resolution
Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
Dispute Resolution: Any dispute arising out of or relating to these Terms or the Platform shall first be resolved through good-faith negotiations. If the dispute cannot be resolved within 30 days, it shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be held in New York, New York.
Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
Injunctive Relief: Notwithstanding the foregoing, we may seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights or confidential information.
15. General Provisions
Entire Agreement: These Terms, together with our Privacy Policy and any applicable Data Processing Agreement, constitute the entire agreement between you and LawCipher regarding your use of the Platform and supersede all prior agreements and understandings.
Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver: The failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms without restriction in connection with a merger, acquisition, or sale of assets.
Notices: Legal notices shall be sent to legal@lawcipher.com or to LawCipher, Inc., 30 N Gould St, STE R, Sheridan, WY 82801.
Export Compliance: You agree to comply with all applicable export and re-export control laws and regulations, including the U.S. Export Administration Regulations.
Force Majeure: Neither party shall be liable for any delay or failure to perform its obligations under these Terms (other than payment obligations) if such delay or failure is caused by events beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics, strikes, shortages of transportation, facilities, fuel, energy, labor, or materials, or failures of third-party infrastructure (including cloud service providers, internet service providers, and telecommunications networks).
